 Terms and Conditions of Sale

Application of the Agreement

1. These Terms and Conditions will apply to the purchase of the Goods described in our Quotation to you     (the buyer)  from  Hooklift Trailer Solutions Ltd., a company registered in England and Wales under number 5935215 whose registered office is at 112 – 114, Witton Street, Northwich, Cheshire CW9 5 NW.(the Supplier)
2. These terms will deem to have be accepted by you when you accept the quotation for the supply of goods and services.
3. These Terms and Conditions (together, the Contract) apply to the purchase of any goods or services between us.
4. The description of the Goods is detailed in our quotation. In accepting the quotation you acknowledge  that you have not relied upon any statement, promise or representation about the performance of the Goods by us that is not detailed in the specification submitted.
5. We reserve the right to improve or amend the specification should it be necessary to ensure the goods are compliant with all current or proposed legislation or safety requirements

Price

The price of the goods together with installation are  to your nominated site and are detailed in our quotation

The quotation is valid for a period of acceptance of 30 days from  the date of submission and will then be subject to review  for orders placed after this time frame.

8. An invoice for deposit will be raised to allow us to proceed with the order, balance being due  when the goods are delivered/installed.
9. The deposit invoice will be due for payment on receipt  unless special terms are agreed between the two parties.
10. Payment of the balance is due on  delivery/installation unless additional credit terms are agreed at point of order.
11. Title to the goods does not pass until payment has been paid in full.
12.  We reserve the right to charge interest at the rate of 4% over Bank of England base rate on outstanding amounts if payment has not been made during the credit period until the outstanding amount is paid in full.
13. All payments are made in British Pounds unless otherwise agreed in writing between us.
14. Both parties must pay all amounts due under these Terms and Conditions in full without any deductions or withholding  and neither party is entitled to assert any credit, set-off or counterclaim against the other to justify withholding payment of any such amount in whole or in part.

Delivery

15. We will arrange delivery of the goods to the address specified on the quotation or given to us by you.

16. It is your responsibility to ensure that delivery can take place during  normal working hours  and you can accept delivery when the goods are ready  which may be in part shipments and that you can provide for suitable unloading facilities at your site. You are responsible for the safety/security of the goods and their insurance  until they can be installed.
17. Any dates quoted for delivery are approximate. We will do our utmost to meet customer requirements but will not be liable for any liability for the delay in the delivery  of the goods that is caused by a circumstance beyond our control.

Inspection and Acceptance

18. You must inspect the  Goods on delivery  for damage/shortages and advise us within 7 days in writing  of non compliance
19. We will as appropriate repair or replace those items that are non compliant to ensure they meet the agreed specification
20. We will be under no liability or further obligation in relation to the Goods if:-
    1. You make further use of the goods knowing them to be damaged or incomplete
    2. The defect arises because you did not follow our oral or written instructions about the storage, commissioning installation, use and maintenance
    3. The defect arises from normal wear and tear of the Goods
    4. The defect arises from misuse, alteration of the Goods, wilful damage or any other act  by you, your agents or third parties
21. Acceptance  of the goods will be deemed to be upon inspection and commissioning and in the event 7 days after this date.

Risk and Title

22. The risk in the Goods will pass to you on completion of delivery
23. Title to the Goods will not pass until we have received payment in full.
24. Until title has passed to you,  you must hold the Goods on a fiduciary basis, not remove any identifying marks, keep the  Goods in a satisfactory condition and keep them insured against all risks for their full price from the date of delivery.
25.  

We can terminate the sale of Goods under the contract where:-

a          You commit a material breach of your obligation under these Terms and             Conditions

b         You are, or in our reasonable opinion, about to become the subject of a bankruptcy order or take advantage of any other statutory  provision for the relief of insolvent debtors

c        You enter into a voluntary agreement under Part 1 of the Insolvency Act, 1986, or any other scheme or arrangement with your creditors, or enter into compulsory liquidation or have an administrator appointed.

Limitations of Liability

25. If we do not supply the Goods to the agreed specification, our liability is limited to the costs and expenses  incurred by you,  in obtaining replacement Goods of similar description and quality, less the price of the Goods.
26. Our total liability will not in any circumstances exceed the total amount of the price paid by you.

27. We will not be liable for any indirect, special or consequential loss, damage or expenses relating to non supply of the Goods or delay in delivery.
28. We will not be responsible for any loss relating to   the choice of the Goods and how they meet your purpose or the use by you of the Goods supplied.
